Contractual information

Terms and conditions

1. Provider and scope

Services offered under the ON-CO brand are provided by Fidampa SA, CHE-236.438.211, Avenue de la Plantaud 8, 1870 Monthey, Switzerland (hereinafter “ON-CO”). Contact: info@on-co.ch. These terms apply to every order placed on the website and prevail over the customer’s terms unless otherwise agreed in writing.

2. Services covered

ON-CO offers company formation, amendment, conversion and liquidation; administrative, tax and social-insurance procedures; permits; accounting; taxation; VAT; payroll; human resources; registered-office services; software setup; websites; Google Business and local SEO; and Marketplace intermediation. The description, price and included items shown in the order summary define the service ordered.

3. Nature of ON-CO’s role

ON-CO prepares, reviews and coordinates files with appropriate professional care. Unless separately mandated and legally authorised, ON-CO does not act as a notary, bank, authority, insurer, auditor, lawyer or court representative. No third-party decision, registration, financing, authorisation, tax outcome or result can be guaranteed.

4. Order and contract formation

Before payment, the customer checks the services, one-time charges, subscriptions, catch-up charges and disclosed third-party costs. By accepting the summary and these terms and clicking the final order button with an obligation to pay, the customer places an order and commits to paying for the selected services under the displayed terms. With Stripe, the order, invoice and emails are confirmed only after successful payment; an abandoned attempt does not validate the order. Processing starts after payment confirmation. ON-CO may refuse or suspend any unlawful, incomplete, misleading or non-compliant request, or work outside its expertise; amounts relating to work not performed will then be refunded.

5. Customer obligations

The customer supplies complete, accurate, legible and current information and documents on time, holds the required rights and authorisations, reviews drafts before signature and immediately reports any error or change. The customer remains responsible for declarations, business decisions, statutory deadlines and originals assigned to them. Delay or extra work caused by missing, late or incorrect information may be charged after notice.

6. Prices, VAT and third-party costs

Prices are stated in Swiss francs. Fidampa SA is not currently registered for VAT, so no VAT is charged while this remains the case. Bank, notary, register, authority, translation, legalisation, software, hosting, advertising and other third-party costs are included only when expressly stated in the summary. Additional work requires the customer’s approval of its price.

7. Payment and default

Payments offered on the site are made by bank card through Stripe. Card-processing fees are displayed before the order is confirmed. ON-CO starts work after payment confirmation and receipt of the required items. In case of default, ON-CO may suspend work after a reminder; default interest of 5% per year and recovery costs actually incurred may be charged within statutory limits. Deliverables may be withheld until overdue amounts are paid.

8. Subscriptions and recurring charges

By selecting a monthly plan and giving the displayed pre-authorisation, the customer authorises recurring charges of the stated amount. The first debit date appears in the summary; later charges are made on the first day of each month. The agreement runs indefinitely and may be terminated in writing with one month’s notice to the end of a month. Services and amounts due until the end date remain payable.

9. Accounting catch-up work

When an accounting, tax or VAT plan is ordered during a financial year, the displayed catch-up fee covers the period stated in the summary, generally from 1 January or, for a sole proprietorship, from the activity start date. Corrections, reconstruction, volume or unusual circumstances not identifiable at the time of order require an additional quotation before work is performed.

10. Timelines

Any stated timeframe starts only after payment and receipt of all necessary information, approvals and documents. Processing times of banks, notaries, registers, authorities, insurers, platforms and other third parties are indicative and outside ON-CO’s control. A third-party request, complex case or lack of cooperation extends the timeframe without constituting a breach by ON-CO.

11. Regulated services

For formation, conversion, liquidation, accounting, taxation, VAT, payroll, social insurance, permits or registered-office services, the customer remains responsible for the choices, approvals, signatures and obligations assigned to them by law. ON-CO may request evidence required for customer due diligence, anti-money-laundering, sanctions or fraud-prevention rules and suspend the file until it is received.

12. Digital services

For a website, Google Business profile, local SEO or software setup, the customer warrants that they hold the rights to all names, trademarks, text, images, data and access supplied. Subscriptions, domains, licences, campaigns and third-party platform services are included only when expressly stated. Rankings, audience, sales, continuous availability and platform decisions are not guaranteed.

13. Marketplace

Listings identified as examples or demonstrations are fictitious and are not offers for sale. For a real listing, the seller supplies and remains responsible for the information. ON-CO structures communications and may carry out checks, but does not guarantee solvency, value, absence of liabilities or completion. Buyers and sellers must conduct their own legal, tax, financial and operational due diligence before committing.

14. Documents, confidentiality and data

ON-CO retains ownership of its pre-existing templates, methods and materials. After payment, the customer may use personalised deliverables for their file but may not resell templates. Each party keeps non-public information confidential. Personal data is handled under the privacy policy; ON-CO may use necessary technical and professional providers subject to appropriate duties.

15. Liability

ON-CO is liable for direct loss caused by a proven breach of its obligations. To the extent permitted by law, indirect loss, loss of profit, business, opportunity or data is excluded, and total liability is limited to fees paid to ON-CO for the affected services during the twelve months before the damaging event. These limits do not apply to intent, gross negligence, death or personal injury, or where mandatory law prohibits a limitation.

16. Termination, force majeure and law

Either party may terminate immediately for a material breach not remedied within a reasonable period. Work performed, costs incurred and retention duties remain due. ON-CO is not liable for delay caused by an unforeseeable event beyond its reasonable control. If one term is invalid, the others remain effective. ON-CO may amend these terms for the future; the version accepted governs the current order. Swiss law applies and, subject to mandatory venues, the courts at Fidampa SA’s registered office have jurisdiction. The French version prevails in case of inconsistency.
